Terms of Use
Article 1 (Scope and Amendment of these Terms)
These Terms shall apply to all matters between the Company and Members arising from the use of the service (hereinafter "the Service") provided through the e-commerce website (hereinafter "the Site") operated by JIAN YE (hereinafter "the Company") by a Member of the Site as defined in the following article (hereinafter "Member").
These Terms set forth matters relating to Members' registration, conditions of membership, operating rules, etiquette, and other matters. The Company may add to or amend these Terms without the consent of Members. Members shall accept any additions or amendments to operating rules or other provisions presented online or otherwise by the Company, and such additions or amendments shall constitute part of these Terms. Matters relating to the purchase of products (applications, payment methods, etc.) shall be governed by the provisions of Article 4.
Article 2 (Definition of Member)
"Member" means a person who has applied for membership after agreeing to these Terms and whose application has been approved by the Company.
Article 3 (Membership)
A person wishing to register as a Member shall be deemed to have agreed to the content of these Terms at the time they enter the required information on the new registration page of the Site and apply for membership. The Company shall accept the application of a person wishing to become a Member, except in the following cases:
1. The applicant has previously had their membership qualification revoked based on these Terms. 2. The application contains false statements. 3. The Company otherwise determines that the applicant is unsuitable as a Member.
Article 4 (Purchases and Returns)
1. Purchases
Members may purchase products using the Service. To purchase a product, a Member shall apply to purchase the product in accordance with the method specified by the Company. A sales contract for the relevant product shall be established between the Member and the Company at the time the Company sends an email to the Member indicating acceptance of the application. However, in the event of fraudulent or inappropriate conduct in connection with use of the Service (such as placing an excessive number of orders or cancellations beyond common sense), or in cases where the Company is unable to confirm receipt by the Member due to refusal of delivery or prolonged absence, the Company may, at its own discretion, cancel, terminate, or take other appropriate measures with respect to the sales contract.
2. Payment Method
For credit cards:
Payment shall be made by credit card in the Member's own name. Payment by credit card shall be subject to the terms separately agreed between the Member and the credit card company, and any dispute arising between the Member and the relevant credit card company shall be resolved between the parties concerned, with the Company bearing no responsibility whatsoever. Delivery of the ordered product shall be deemed complete upon delivery of the product to the address specified at the time of order.
3. Returns
If a Member returns a product without complying with these Terms and the "Usage Guide" on the Site, the Company will return the product to the Member. If the Member refuses to receive the product upon this re-delivery and the product is returned to the Company, the Member shall be deemed to have relinquished ownership of the product at that time, and the Company may dispose of the product after one month has passed. In addition, we do not accept returns or exchanges of sale items except for defective items. When exchanging a defective sale item, if no stock is available, the item will be handled as a return. We do not accept cancellations, returns, or exchanges of sale items after an order has been completed.
4. Exchanges
We cannot accept exchanges of products for the Member's convenience. However, in the case of a defective product or incorrect delivery, we will accept an exchange for the same product only. In such cases, the Member must report the issue using the method specified in the "Usage Guide" on the Site. If stock for exchange is unavailable, the matter will be handled as a return.
Article 5 (Management of ID and Password)
After becoming a Member, Members may use the ID and password approved and registered. Members themselves shall be responsible for managing them. Members may not transfer, change the name of, sell, or lend their Member ID and password to third parties. The Company shall bear no responsibility whatsoever for any damage incurred by a Member as a result of the Member's negligence in using their Member ID and password, or as a result of use (including unauthorized use) of the Member ID and password by a third party.
Article 6 (Registered Personal Information)
If there is any change to a Member's address, name, telephone number, or other information registered with the Company, or if the Company requests the Member to provide additional registration information, the Member shall promptly complete the procedures by the method separately specified by the Company. Information registered by Members shall be strictly managed by the Company as personal information. The Company shall not correct or change personal information without the Member's consent.
Article 7 (Prohibited Acts by Members)
The Company prohibits Members from engaging in the following acts when using the Service:
1. Acts contrary to public order and morals, or acts that violate laws and regulations
2. Acts that lead to crime
3. Acts that infringe the copyrights or other intellectual property rights of other Members or third parties
4. Acts that slander, defame, or otherwise damage the reputation of other Members or third parties
5. Acts that infringe the property or privacy of other Members or third parties
6. Acts that cause disadvantage to other Members or third parties
7. Acts that interfere with other Members' use of the Service
8. Acts that interfere with the Company's operations (such as falsifying information or inputting/transmitting viruses)
9. Acts for commercial purposes not approved by the Company
10. Other acts that the Company determines to be inappropriate
Article 8 (Suspension/Discontinuation of the Service and Changes to its Content)
The Company will temporarily suspend or discontinue all or part of the Service, or change, add to, or delete it, without prior notice to or consent from Members, in the following cases:
1. When urgent maintenance is required due to a system malfunction or similar issue
2. When services from Type I (telephone companies, etc.) or Type II telecommunications carriers (providers, etc.) are not provided
3. When the Service cannot be provided due to fire, power outage, or a natural disaster (earthquake, eruption, flood, tsunami, etc.)
4. When the Service cannot be provided due to a man-made disaster (war, riot, civil disturbance, labor dispute, etc.)
5. Other cases where the Company determines it is necessary
The Company shall bear no responsibility to Members even if the above circumstances occur and cause disadvantage or damage to Members. The same shall apply in cases where a Member suffers disadvantage or damage because an email from the Company failed to reach the Member due to the Member's internet or mobile device usage environment.
Article 9 (Ownership of Copyright, etc.)
All copyrights, trademark rights, and other intellectual property rights relating to the information and design posted on the Site belong to the Company or other rightful holders of such rights, and Members shall have no rights whatsoever to these intellectual property rights.
Article 10 (Member's Responsibility)
The Company shall bear no responsibility whatsoever for any damage incurred by a Member through use of the Service. If a Member causes damage to a third party through use of the service provided by the Company, the Member shall resolve the matter at their own responsibility and expense, and shall not cause damage to the Company. If a Member causes damage to the Company through fraudulent or improper means or methods, the Member shall be liable to the Company for compensation for damages.
Article 11 (Suspension of Membership Qualification and Cancellation of Membership)
If a Member falls under any of the following items, the Company may suspend the Member's use of the Service or cancel the Member's membership qualification without prior consent from the Member.
1. If the Member ID/password has been used fraudulently
2. If the membership application contained false information
3. If the Member has falsified or improperly used information on the Site, or otherwise intentionally interfered with its operation
4. If the Company determines that the Member's qualification is inappropriate and cancellation is necessary
5. If it is discovered that the Member has previously had their membership registration cancelled due to a violation of these Terms or similar
6. If there has been a delay or other failure to fulfill payment obligations for fees relating to the Service
7. If a seizure, provisional seizure, provisional disposition, compulsory execution, or petition for bankruptcy has been filed against the Member, or if the Member has filed for bankruptcy or civil rehabilitation
8. Other cases of violation of these Terms
Article 12 (Withdrawal of Membership)
Members may withdraw from membership at any time by following the prescribed procedures.
Article 13 (Suspension of Business)
The Company may suspend all or part of its operations or the business resulting therefrom without the consent of Members.
Article 14 (Court of Agreed Jurisdiction)
If litigation becomes necessary between a Member and the Company regarding these Terms, the Tokyo District Court shall be the court of agreed jurisdiction.
Article 15 (Governing Law)
The formation, validity, performance, and interpretation of these Terms shall be governed by the laws of Japan.
